These Terms of Service ("Terms") constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and LAVT Supply ("Company," "we," "us," or "our") concerning your access to and use of the AV Management Suite platform (the "Service").

Each customer organization ("Tenant") receives a dedicated subdomain and isolated data environment. The Tenant administrator is responsible for managing user access, roles, and permissions within their organization's account.
We offer the following subscription tiers, each with different feature limits and pricing:
By subscribing to a paid plan, you agree to pay all fees associated with your chosen subscription. All payments are processed through Stripe, our third-party payment processor. You authorize us to charge your provided payment method on a recurring basis according to your billing cycle.
We may offer free trial periods for new customers. If you do not cancel before the trial period ends, you will be automatically charged for your selected subscription plan.
Unless you cancel your subscription before the end of your billing period, your subscription will automatically renew for successive periods of the same duration at the then-current subscription rate.
We reserve the right to modify our pricing with 30 days' advance notice. Price changes will take effect at the start of your next billing cycle following the notice period.
Each subscription plan includes limits on users, projects, and storage. Exceeding these limits may require an upgrade to a higher-tier plan or payment of overage charges.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
You are solely responsible for the accuracy, quality, and legality of your data, the means by which you acquired it, and your use of it with the Service.
You are responsible for maintaining appropriate security measures for your account, including strong passwords, multi-factor authentication where available, and restricting access to authorized users only.
The Service and its original content (excluding user-provided content), features, and functionality are and will remain the exclusive property of LAVT Supply and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.
You retain all rights to the data and content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited license to use, store, process, and display Your Content solely for the purpose of providing the Service to you.
If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We may perform scheduled maintenance that temporarily interrupts access to the Service. We will attempt to provide advance notice and schedule maintenance during off-peak hours when possible.
You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. You will not receive a refund for any unused portion of your subscription unless otherwise specified in our Refund Policy.
We may suspend or terminate your access to the Service immediately, without prior notice, for any reason, including but not limited to:
Upon termination, your right to use the Service will immediately cease. We will provide you with reasonable access to export your data for 30 days following termination, after which your data may be permanently deleted from our systems.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LAVT SUPPLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless LAVT Supply, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property disputes or breaches of confidentiality.
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
The Service includes integration with Adobe Sign for electronic signature functionality. Electronic signatures processed through the Service are legally binding and enforceable under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN Act) and applicable state laws.
By using the electronic signature features, you consent to conduct transactions electronically and acknowledge that electronic signatures have the same legal effect as handwritten signatures.
The Service may be subject to U.S. export control laws and regulations. You agree not to export, re-export, or transfer the Service or any technical data derived from it, in violation of applicable export laws and regulations.
These Terms, together with our Privacy Policy and any other legal notices or policies published on the Service, constitute the entire agreement between you and LAVT Supply regarding the Service.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
